1. Informal Resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
2. Mediation: If negotiation fails, the dispute shall be submitted to mediation under the Mediation Act, 2023.
3. Arbitration: If mediation fails, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Pune, Maharashtra, India.

The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes not subject to arbitration.
